Cardflow Rewards Program Terms

PLEASE READ THIS TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION ABOUT THE CARDFLOW REWARDS PROGRAM.

1. Introduction

These Cardflow Rewards Program Terms (the “Rewards Terms”) govern the Client’s ("Client", “you” or “your”) participation in the Cardflow Rewards Program (the “Rewards Program”) which is provided by Cardflow Inc. (“Cardflow”, "we", “our” or “us”). These Rewards Terms form a part of the Cardflow Terms of Service (the “General Terms”). Terms not specifically defined in these Rewards Terms shall have the meaning given to them in the General Terms.

Your participation in the Rewards Program is subject to these Rewards Terms, outlining the criteria for eligibility, earning, redemption, retention, and potential forfeiture of the Rewards, such as cashback credits. In cases where a conflict arises between these Rewards Terms and any other terms, agreements, or policies specified in the General Terms, these Rewards Terms take precedence.

2. Eligibility for the Rewards Program

Upon opening an eligible Cardflow Account, the Client is automatically enrolled in the Rewards Program. However, certain Cardflow Accounts may not be eligible to participate in the Rewards Program.

To qualify for the Rewards Program, certain conditions must be met by the Client:

  • Good Standing: Your Cardflow Account must be consistently in good standing;
  • US-Based Business Client: Your business (company) must be registered and based in the United States;
  • Cardflow Card: You must possess and use a Cardflow Card for your transactions; and
  • Authorized Users: All users earning Rewards on behalf of the Client must be affiliated with and Account Users of the Client.

In the event that your Cardflow Account is not in good standing for any reason, or if we, at our sole discretion, determine that you are abusing or misusing the Rewards Program, or have violated our General Terms or any associated terms and policies, you may become ineligible to earn or redeem Rewards and could forfeit any previously earned Rewards.

We may update or change eligibility criteria, restrictions, and requirements at any time. We also retain the right to condition, restrict, limit, or revoke the Rewards at our sole discretion. You should refer to the details on the Platform and the Rewards Program for the specific terms applicable for a qualifying activity.

Cardflow Account Delinquency/Closure. If your Cardflow Account is delinquent, no Rewards will be earned on Settled Transactions during the delinquency status. All accrued Rewards will be lost when your Cardflow Account is closed or terminated, whether by you or us. If your Cardflow Account is inactive for twelve (12) consecutive months, all points in that Cardflow Account will be forfeited at that time, but your Cardflow Account will remain open (with the ability to generate new Rewards thereafter) unless such Cardflow Account is suspended or otherwise terminated in accordance with these Reward Terms.

3. Types of Rewards and Rewards’ Calculation

Under these Rewards Terms, the Rewards include the Accrued Rewards, Bonus Rewards (if applicable), and other cashback credit, or benefits conferred by Cardflow through participation in the Rewards Program. The Rewards are not your property or assets, and have no cash or other stored value, and cannot be withdrawn or redeemed for cash value or in any other way. You may not purchase, exchange, trade, barter, sell, convey, transfer, assign or gift Rewards. Rewards are not negotiable or commissionable and are void if you sell, barter, auction, donate, assign, convey, or otherwise transfer them (or make any attempt to do so) in a manner not expressly allowed by these Rewards Terms. In the event that you make any attempt to sell, barter, auction, donate, assign, convey, or otherwise transfer your Rewards or Cardflow Account to a third party in violation of these Rewards Terms, all persons involved in advertising, facilitating, or administrating the prohibited transfer may, in Cardflow’s sole discretion, immediately forfeit all points or awards, have their respective accounts terminated, and be barred from future participation in the Rewards Program.

Accrued Rewards

The Accrued Rewards are divided into 3 groups by the expenses type and have a corresponding Accrued Expenses Percentage as follows:

  • Advertising expenses: the Accrued Expenses Percentage - 1.2%;
  • Travel expenses: the Accrued Expenses Percentage - 1.2%;
  • Software expenses: the Accrued Expenses Percentage - 1.2%.

The Accrued Rewards are determined by taking the Settled Transactions amount and multiplying it by the Accrued Expenses Percentage, which shall accrue for a calendar month period and be payable within seven (7) business days after the end of the reporting month.

Bonus Rewards

The Bonus Rewards are contingent upon meeting the applicable requirements for a particular Bonus Program (e.g., the Cardflow Bonus Program, as may be available from time to time at our sole discretion).

Calculation of Rewards. The Rewards are calculated on Settled Transactions (as defined below) made using your Cardflow Card less (i) any fees applicable to any Settled Transactions, and (ii) any other costs or expenses associated with any Settled Transactions, and rounded to the nearest cent in accordance with these Rewards Terms. The Rewards are calculated as a percentage of the Settled Transactions completed within the Cardflow Platform during the covered period (generally, one calendar month).

The Rewards are exclusively earned for digital purchases (expenses) made with your Cardflow Card, accrued on those transactions that have “Settled” status (collectively referred to as "Settled Transactions").

Several transactions do not qualify as Settled Transactions, including, but not limited to:

  • Cash withdrawals.
  • Purchases of prepaid cards and cash equivalents.
  • Transactions identified as fraudulent, disputed, or unauthorized.
  • Transactions subject to a chargeback.
  • Refunded transactions.
  • Items returned for credit.
  • Any fees charged to your Cardflow Account.

In our sole discretion, we reserve the right to determine that a specific transaction type or individual transaction is excluded from eligibility for earning Rewards at any time. Additionally, we may, at our sole discretion, choose not to provide Rewards based on foreign transactions.

If the Rewards were awarded for a transaction that does not qualify as a Settled Transaction or were awarded in error, we reserve the right to offset such Rewards using your remaining or future Rewards balance or your Cardflow Account balance.

4. How to Receive Rewards

Minimum Spend Requirement

You must spend at least One Thousand Dollars ($1,000) in Settled Transactions to qualify for and receive the Rewards.

Minimum Deposit Requirement

To participate in the Rewards Program, you agree to deposit and maintain your Cardflow Account balance in an amount pursuant to this Sections as described below.

When you deposit and maintain at least of Five Hundred Dollars ($500) in your Cardflow Account balance, you will earn the Accrued Expenses Percentage of the Accrued Rewards on Settled Transactions for each Five Hundred Dollars ($500) spent per month.

Notwithstanding any other provision in the Rewards Terms, we may limit earning and redemption of the Rewards, including through caps, fees, and expiration. We may determine that a transaction type, or particular transaction, is excluded from eligibility for the Rewards at any time at our sole discretion.

The Rewards may not be combined with other discount programs, unless specifically authorized by us. We display your Rewards, redemption options, and other available perks in your Cardflow Account.

The Rewards will be redeemed (paid out) automatically according to the following schedule:

  • Accrued Rewards: the Accrued Rewards will be paid within seven (7) business days of the end of each calendar month;
  • Bonus Rewards: the Bonus Rewards are contingent upon meeting the applicable requirements for a particular Bonus Program, the corresponding Bonus Reward will be paid at the end of the covered period.

The Rewards will be credited to your Cardflow Account and/or be loaded onto your Cardflow Cards within seven (7) business days after the end of the reporting month or covered period.

If you think there is a discrepancy in the number of Rewards earned, you must notify us within 30 days of the date of the first statement showing the discrepancy. If you fail to notify us, the Rewards will be considered accurate, and you will have waived all claims for adjustments. In the event that an adjustment to your Rewards total means that you received a Reward that you were not otherwise entitled to, you agree that we have the right in our sole discretion to reduce the Rewards balance accordingly or withhold any subsequent points Rewards. Rewards discrepancies do not constitute billing errors.

Suspension/Termination of Participation in the Rewards Program

We reserve the right to suspend your ability to earn, use, or redeem the Rewards, or to terminate your participation in the Rewards Program if any of the following events occur:

  • your breach of any agreement with us, including these Rewards Terms or the General Terms;
  • your actions are inconsistent with applicable laws;
  • your Involvement in misuse, misconduct, or wrongdoing related to your Cardflow Account, Cardflow Card, or the Rewards features;
  • your engaging in the manipulation of purchases or transactions with your Cardflow Card to artificially increase spending;
  • your participation in fraudulent or inappropriate use of your Cardflow Account or Cardflow Card beyond standard usage;
  • you are being subjected to bankruptcy, receivership, reorganization, liquidation, dissolution, insolvency, or similar proceedings;
  • we have a reasonable belief that you may be unwilling or unable to meet financial obligations as they arise;
  • suspension or closure of your Cardflow Account, whether initiated by you or us, (collectively referred to as "Termination Events").

Upon the occurrence of any Termination Events, we may, at our sole discretion, forfeit your Rewards, suspend your ability to earn, use, or redeem Rewards, or terminate your participation in the Rewards Program. The Rewards earned in violation of the Terms or through the Termination Events may be revoked at our discretion.

To the maximum extent permitted by law, the Client and each Account User, on behalf of itself and its Client, releases Cardflow from all liability, losses or damages for the Client’s participation in the Rewards Program.

6. Outstanding Balance

The Rewards are not earned on transactions with outstanding balances for any reason. The redemption of the Rewards is only possible upon the full payment of amounts owed to Cardflow.

By accepting these Rewards Terms, you grant us the authorization to utilize any Rewards, including the Accrued Rewards, to settle any outstanding Cardflow Account balance or debt owed to us, whether related to the Rewards Program or otherwise.

7. Taxes

You are responsible for (a) determining your tax liability related to your participation in the Rewards Program; and (b) reporting and remitting in a timely manner all taxes due to the appropriate tax authority arising from your participation in the Rewards Program. In addition, upon our request, you must provide a Form W-9 certifying your tax identification number to us when the Rewards starts accruing (or if Stripe requests, upon opening the Cardflow Account). Consult your tax advisor concerning tax consequences.

8. Updates to the Rewards Terms; Termination of the Rewards Program

We reserve the right to update these Rewards Terms, with or without notice, by publishing an updated version at any time. The Rewards, including their features, may undergo changes, including removal, at any time. Your ongoing participation in the Rewards Program following any modification implies your acceptance and agreement to be bound by such changes. Your participation in the Rewards Program is contingent upon your acceptance of all these Rewards Terms.

We may suspend or terminate the Rewards Program or any of the Bonus Programs or similar programs at any time and in our sole discretion. In the event that the General Terms are terminated, these Rewards Terms will immediately terminate.
